This Agreement contains the complete terms and conditions that apply

your participation as a member of the BIOptimizers Affiliate
Program.
1. Enrollment in the BIOptimizers Affiliate Program:
To begin the enrollment process, you will submit a completed BIOptimizers Affiliate Program Application through our website. Your account will be evaluated before becoming active. We reserve the right to approve or deny any application. Evaluations are conducted in good faith to ensure compliance with all rules and agreements.
We may reject your account if we determine that your site is unsuitable for any reason, including, but not limited to, unlawful, defamatory, obscene, harassing, or otherwise objectionable content. This includes sites that facilitate illegal activity, promote violence, or assist others in promoting copyright infringement (collectively, “Content Restrictions”).
2. Using Links on Your Site:
As an affiliate of BIOptimizers, you may use various promotional methods consistent with the terms of this Agreement. This includes banner advertisements, button links, and text links to our site (the “Links”). However, you CANNOT SPAM.
Any activity by you or on your behalf that we determine or suspect to be the result of unsolicited bulk email will result in immediate termination from the Program and forfeiture of all commissions.
This includes using social media to send affiliate links to BIOptimizers or Masszymes Inc. followers or posting affiliate links on any of our official sites. Allowable promotional links may contain BIOptimizers' trade names, service marks, and/or logos for display on your Affiliate Site. However, your domain name MAY NOT contain a BIOptimizers or Masszymes Inc. trade name.
You are granted a limited, non-exclusive, non-transferable license to access and download such Links and other promotional materials for placement on your Affiliate Site for the sole purpose of promoting BIOptimizers’ websites.
You agree to cooperate fully with us to establish and maintain the Links. A Link may only be visually modified with our consent.
In utilizing the Links, you agree that you will cooperate fully with us in order to establish and maintain such Link or Links. A Link may only be visually modified with our consent.
You MAY NOT:
Create social media account (including but not limited to Instagram, Facebook, etc.) using our trademarks/branded names, or misspellings of those (i.e. biooptimizers, bio.optimizers, notoopia, etc.), our branded images or names, in the profile username, display name, profile picture(s), description field, email option, and/or link.
Download and re-upload our official videos from YouTube (or any other source) on your own account to promote your affiliate link.
Comment on BIOptimizers' social media accounts with your affiliate code or tracking link.
Impersonate BIOptimizers/Nootopia company, including using misspellings of the company name or website material that makes it appear to be the company's website.
Use Trademark (TM/TM+) Bidding.
Use Adware/Spyware technology (these software programs often work behind the scenes, tracking user behavior without consent or bombarding users with unsolicited ads).
Engage in False Advertising (e.g., deceptive "Mega Sale" event).
Use Cookie stuffing (also known as cookie dropping) - involves placing an affiliate tracking cookie onto a website visitor’s device without their knowledge or consent.
Misuse Assets.
Register a domain that contains our brand's or our products' brand name (e.g., biooptimizers.com, magnesiumbreakthrough.com , etc.).
3. Commissions:
ClickBank and Digistore24: BIOptimizers and Nootopia Supplements purchase: 30% RevShare Starting Commission. The commission goes up according to your sales level.
Refersion: BIOptimizers and Nootopia Supplements purchase: 10% RevShare Starting Commission (codes also available). The commission goes up according to your sales level. Cookie Duration: 180 days.
Commission Junction (CJ): BIOptimizers and Nootopia Supplements purchase: 10%/15% (one-time purchases/subscriptions) RevShare Starting Commission. The commission goes up according to your sales level. Cookie Duration: 60 days.
4. Commission Payment:
Commissions owed under the program will be paid directly by the affiliate platform. Set the payment threshold, frequency, and choose to receive payment by either ACH bank deposit or check directly on the network.
5. Responsibility for Your Site:
You are solely responsible for the development, operation, and maintenance of your site and all materials that appear on it. We are not responsible for your site’s development, operation, and maintenance or for materials on your site.
Ensure that materials on your site do not violate any laws or third-party rights (including copyrights, trademarks, privacy, or other personal or proprietary rights). You must have express permission to use another party’s copyrighted or proprietary material.
Disclose any “material connection” between you and BIOptimizers in accordance with Federal Trade Commission guidance whenever you offer an endorsement or testimonial.
Maintain a privacy policy that complies with all applicable laws and regulations regarding the privacy of visitor information and accurately disclose your collection and use of visitor information.
Immediate termination will occur if we believe you have engaged in:
Unsolicited mass email solicitations, IRC postings, or other forms of spamming.
Providing inaccurate or incomplete information to BIOptimizers.
Attempting to cheat, defraud, or mislead us.
Misrepresenting the terms and conditions of our sites or your sites.
Engaging in popup advertisement network activities.
Using hidden IFrames or Cookie Stuffing methods to make sales.
Impersonating BIOptimizers/Nootopia company, including using misspellings of the company name or website material that makes it appear to be the company's website.
Using Trademark (TM/TM+) Bidding.
Using Adware/Spyware technology (these software programs often work behind the scenes, tracking user behavior without consent or bombarding users with unsolicited ads).
Engaging in False Advertising (e.g., deceptive "Mega Sale" event).
Misusing Assets.
Registering a domain that contains our brand's or our products' brand name (e.g., biooptimizers.com, magnesiumbreakthrough.com , etc.).
6. PPC Advertising:
Paid Per Click (PPC) or Paid Ads are allowed on the programs, as long as affiliates don't bid on branded keywords (TM/TM+).
Examples of TM keywords - "BIOptimizers", "Magnesium Breakthrough", "MassZymes", or any misspellings of those.
Examples of TM+ keywords - "BIOptimizers discounts", "Magnesium Breakthrough coupon code", etc.
7. Term of the Agreement:
The term of this Agreement begins upon acceptance of your Affiliate Program Application and ends when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving notice to the other party.
Termination due to violation of the Agreement terms will forfeit your eligibility to receive any commissions, even those earned prior to the termination date.
8. Modification:
We may modify any terms and conditions of this Agreement at any time at our sole discretion. Notice of any change by email or posting on our site is considered sufficient notice. Modifications take effect 48 hours after notice is served unless stated otherwise.
If any modification is unacceptable, your recourse is to terminate this Agreement. Continued participation following notice of changes constitutes binding acceptance of the changes.
9 . Relationship of Parties:
You and BIOptimizers are independent contractors. This Agreement does not create any partnership, joint venture, agency franchise, sales representative, or employment relationship. You have no authority to make or accept offers or representations on our behalf.
10. Limitation of Liability:
We will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program. Our aggregate liability will not exceed the total commissions paid or payable to you under this Agreement.
11. Disclaimers:
We make no express or implied warranties or representations with respect to the Affiliate Program or any services or items sold through the Program. We make no representation that our site will be uninterrupted or error-free.
12. Representations and Warranties:
You represent and warrant that this Agreement is legally binding and enforceable against you. The execution, delivery, and performance of this Agreement are within your legal capacity and power, and do not violate any law, rule, regulation, order, judgment, decree, or terms of any other agreement.
13. Confidentiality:
Any information disclosed to you as part of the Program that we consider confidential must be kept confidential. This includes modifications to the terms of this Affiliate Program Agreement made specifically for your site, business and financial information, customer and vendor lists, and other confidential information designated during the term of this Agreement.
14. Indemnification:
You agree to indemnify, defend, and hold harmless Masszymes Inc., its officers, directors, employees, agents, affiliates, successors, and assigns, from any claims, losses, liabilities, damages, or expenses arising from:
Any claim that our use of the Affiliate Trademarks infringes on third-party rights.
Your breach of any promise, covenant, representation, or warranty made herein.
Any claim related to your site.
15. Miscellaneous:
Terminated accounts cannot reapply without our express written consent. This Agreement is governed by the laws of Panama. We reserve the right to withhold commissions in situations with high chargeback/cancellation ratios. We will arbitrate any disputes related to sales validity. Multiple BIOptimizers affiliate accounts across networks are prohibited. This Agreement cannot be assigned without our prior written consent.
16. Binding Arbitration:
By participating in this affiliate program, you agree to binding arbitration for any disputes with Masszymes Inc. An arbitration firm selected by BIOptimizers will be the sole and final arbitrator. You are responsible for all arbitration-related costs.
17. Medical Claims:
Affiliates may not make any claims that BIOptimizers, products may be used for the treatment, diagnosis, or mitigation of any disease.
