• You may NOT use domains that contain any of our brand / company names

• Coupon codes and discount amounts must be APPROVED by BiOptimizers before use

Terms and Conditions – Content Rights

You must agree to these content rights to participate. By participating, you (“Influencer”) grant Bioptimizers a worldwide, irrevocable, royalty-free, fully paid-up, transferable, sub-licensable, and perpetual right and license to reproduce, publish, distribute, display, repost, share, and edit all Content created for or on behalf of Bioptimizers in any and all media now known or developed in the future, including the right to create derivative works. This includes, but is not limited to:

1. Posting the Content to social media platforms.

2. Publishing the Content to Bioptimizers’ websites.

3. Using the Content in Bioptimizers’ digital, email, or text message communications.

4. Using the Content in online advertising within social media platforms.

5. Using the Content in general online advertising (e.g., search engines, websites, digital ads, etc.).

6. Using the Content in offline advertising (e.g., broadcast, print, display, etc.).

7. Combining the Content with other content for any of the above uses.

As part of our agreement, we will also have the right to use the Content in the form of Creator Licensing for advertising purposes on our platforms—such as Facebook and Instagram—in perpetuity.

By entering into this agreement, you acknowledge that you have read, understood, and agree to the terms stated above.

1. ‌Enrollment in the BiOptimizers Affiliate Program

   To begin the enrollment process, you will submit a completed BiOptimizers Affiliate Program Application. We evaluate each application in good faith to ensure compliance with our rules and agreements.

   We reserve the right to reject any application if we determine your site is unsuitable for any reason, including, but not limited to, unlawful or objectionable content (“Content Restrictions”).

   
   

   
   

2. ‌Using links on your site

   As an affiliate of BiOptimizers, you may use banner ads, button links, or text links to promote BiOptimizers, provided you do not engage in SPAM (e.g., unsolicited bulk email).

   • Any activity deemed to be unsolicited bulk email (spam) or suspicious will lead to immediate termination and possible forfeiture of commissions.

   • You MAY NOT create social media accounts or use domain names containing any BiOptimizers/Masszymes Inc. trademarks.

   • Affiliates MAY NOT download BiOptimizers or Masszymes Inc. official videos from YouTube (or any other source) and re-upload them without express permission.

   • Affiliates MAY NOT comment on official BiOptimizers or Masszymes Inc. social media accounts with affiliate codes.

     
     

     
     

3. ‌Commissions

   • BiOptimizers Supplements – up to 30% Lifetime Commission (as long as the customer continues to purchase, and you remain an active affiliate).

   • We reserve the right to reverse commissions due to refunded payments up to 90 days post-purchase.

   • Commissions are paid via PayPal only. Ensure your PayPal details are accurate in your affiliate dashboard.

     
     

     
     

4. ‌Commission Payment and Refunds

   Commissions owed to you under the program will be paid out directly by our affiliate platform, BiOptimizers, typically every 30 days after the sale. Refunds or chargebacks may affect your earnings.

   
   

   
   

5. ‌Responsibility for Your Site

   You are solely responsible for developing, operating, and maintaining your website (or other promotional channels) and for all the content on it.

   • Ensure no copyrighted or proprietary materials are used without permission.

   • You must follow FTC guidelines, disclosing any “material connection” with Masszymes Inc./BiOptimizers when offering endorsements/testimonials.

     
     

     
     

6. ‌PPC Advertising

   We do not accept commissions from PPC advertising traffic. If you use PPC, retargeting, or other paid ad methods, your account may be subject to termination.

   
   

   
   

7. ‌Term of the Agreements

   This agreement begins upon acceptance of your Affiliate Application and ends when terminated by either party.

   • We or you can terminate the agreement at any time, with or without cause, by giving notice (email is sufficient).

   • If terminated due to a breach of these terms, you forfeit all unpaid commissions.

   We may modify any terms and conditions at our sole discretion. Notification can be by email or by posting changes on our site. Continued participation after changes indicates acceptance.

2. ‌Relationship of Parties

   We make no express or implied warranties with respect to the Affiliate Program, BiOptimizers/Masszymes Inc. services, or items sold.

   
   

   
   

5. ‌Representations and Warranties

   You represent that:

   
   

   1. You have the legal authority to enter this agreement.

   2. Your actions do not violate any laws or terms of other agreements.

      
      

      
      

6. ‌Confidentiality

   Any non-public information we share with you (including but not limited to business details, sales data, or special arrangements) must be kept confidential.

   
   

   
   

7. ‌Indemnification

   You agree to indemnify and hold harmless Masszymes Inc. (and related parties) against any claims, losses, or liabilities arising from your breach of this agreement.

   
   

   
   

8. ‌Miscellaneous

   • Terminated accounts may not reapply without written consent.

   • This agreement is governed by the laws of Panama, without regard to conflict of law principles.

   
   

   
   

9. ‌Binding Arbitration

   Any disputes or claims must be resolved via binding arbitration.

   
   

10. ‌Medical Claims

    Affiliates may not claim BiOptimizers/Masszymes Inc. products treat or mitigate diseases in violation of applicable regulations.

11. ‌Restrictions on Promotions

    • Promotion via paid traffic, retargeting, or discount/coupon sites is prohibited if it violates the spirit of these terms.

12. ‌Usage Rights & Licensing

    1. Content Creation: As an affiliate, you may occasionally be requested to create content (photos, videos, social media posts) to promote BiOptimizers products.

    2. Grant of Rights: By participating and creating content, you grant BiOptimizers (and its parent company, Masszymes Inc.) the non-exclusive, perpetual, irrevocable right to reuse, publish, and distribute any content you create for the purpose of promoting BiOptimizers. This includes, but is not limited to, digital advertising, email marketing, social media channels, websites, and printed promotional materials.

    3. Brand Guidelines: When referencing “BiOptimizers,” affiliates must use the correct spelling and may not stylize or alter brand names or logos without prior written consent.

    4. Content Focus: Content featuring BiOptimizers products must showcase those products as a primary focus. No competing product tags or mentions are allowed.

    5. Tagging & Hashtags: Where relevant, affiliates are encouraged to tag official BiOptimizers accounts and use approved hashtags (e.g., #bioptimizers, #masszymes) so that we can find and potentially share your posts.

    6. Permanent Placement: If you are required to post a certain number of social media posts in exchange for commissions, product, or other compensation, such posts must remain publicly viewable on your profile for at least 30 days (unless otherwise agreed in writing).

    7. No Additional Approval Needed: Unless otherwise stated, BiOptimizers will not require pre-posting approval of content. However, if content is found to violate these Terms & Conditions or brand guidelines, BiOptimizers reserves the right to request modifications or removal.

       
       

13. ‌Termination for Non-Performance or Breach

    In addition to reasons stated in Version 1, BiOptimizers reserves the right to terminate this agreement if you:

    • Fail to deliver agreed-upon content within the specified deadline (if a content collaboration exists).

    • Delete or hide content before the minimum required time period has passed.

    
    

    
    

14. ‌Confidentiality (Supplemental)

All terms relating to exclusive discount codes, custom commission rates, or special influencer collaborations are strictly confidential and must not be disclosed without BiOptimizers’ written permission.
